Location: Hoboken, NJ Hybrid schedule – 3 days in office

Wiley is looking for a motivated, proactive, and experienced Global Corporate Secretary & Governance Counsel to join our legal team. Responsible for advising the Board, planning and executing Board meetings, maintaining corporate records, corporate disclosure and compliance, overseeing stockholder relations including preparing and distributing the proxy statement and managing the annual shareholder meeting, managing subsidiaries, and monitoring corporate governance developments.

How you will make an impact:

  • Develop and maintain subject matter expertise in corporate governance.
  • Prepare board meeting materials, minutes, corporate filings, and communications with the Board of Directors and shareholders.
  • Provide proactive counsel to management and support for the Board of Directors.
  • Responsible for the planning, preparation and dissemination of the proxy statement and matters relating to the annual shareholders meeting.
  • Accountable for SEC, NYSE and SOX governance compliance matters and for the maintenance of corporate documents, including subsidiary matters.
  • Oversee the administration of the employees’ stock plan.
  • Oversee corporate governance of all global subsidiaries.
  • Work on general corporate matters, such as compliance, acquisitions, contracts and the like.
  • Work cross-functionally within our global organization. 
  • Project manage within the legal function and across other internal groups.
  • Proactive attitude and ability to juggle competing priorities.

We are looking for people who:

  • 5+ years qualified, plus 3+ years as the Corporate Secretary or Principal Assistant of a publicly traded company, with experience in legal and governance issues.
  • Working knowledge of SEC and NYSE rules and regulations and Section 16 reporting requirements.
  • Must be detail oriented with strong organizational, writing, and project management skills.
  • Juris Doctorate preferred but not required.
  • Experience as Corporate Secretary in Global organization.
  • Pro-active leadership style.
  • Ability to build network and relationships in matrix environment.
